1. Introduction

Welcome to IllyVoIP (“we,” “us,” “our”), a provider of global communication services including voice termination, phone numbers, SMS, and data services. These Terms & Conditions (“Terms”) govern your access to and use of our website, products, services, APIs, software, and related materials (collectively, the “Services”). By accessing or using our Services, you (“Customer,” “you”) agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

These Terms, together with our Privacy Policy, Acceptable Usage Policy, Service Agreement, and any other supplemental agreements or policies referenced herein, constitute the entire agreement between you and IllyVoIP regarding your use of our Services.

3. Definitions

• "Agreement" means these Terms & Conditions, along with any additional policies, service agreements, order forms, schedules, or amendments incorporated by reference.
• "Services" refers to the telecommunication services provided by IllyVoIP, including but not limited to voice termination, phone number provisioning, SMS services, global data services, APIs, software, and related support.
• "Website" refers to https://illyvoip.com and any related subdomains or websites operated by IllyVoIP.
• "Content" includes all text, data, images, software, designs, code, and other materials available through our Services.
• "User Data" refers to any information, communications, or content that you upload, submit, or provide through our Services.
• "Intellectual Property" means copyrights, trademarks, trade secrets, patents, and other proprietary rights related to our Services and Content.

4. Eligibility & Account Registration

4.1. Eligibility: You must be at least 18 years old, or of legal age in your jurisdiction, to use our Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to this Agreement.

4.2. Account Registration: In order to access certain features of our Services, you may need to register for an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and update your information as needed.
• Choose a strong password and safeguard your account credentials.
• Notify us immediately of any unauthorized use of your account.

4.3. Account Security: You are solely responsible for all activities that occur under your account. We are not liable for losses caused by your failure to comply with these obligations.

5. Use of Services

5.1. License: Subject to your compliance with these Terms, IllyVoIP grants you a limited, non-exclusive, non-transferable right to access and use our Services for your internal business purposes.

5.2. Permitted Use: You may use our Services only for lawful purposes and in accordance with these Terms, our Acceptable Usage Policy, and all applicable laws and regulations.

5.3. Prohibited Activities: You agree not to:

• Use the Services in any manner that violates laws or regulations.
• Infringe or violate the intellectual property or proprietary rights of others.
• Transmit harmful, fraudulent, or malicious content, including viruses, malware, or spam.
• Attempt unauthorized access to our systems, data, or networks.
• Interfere with or disrupt the integrity or performance of our Services or networks.
• Use our Services for activities such as money laundering, fraud, harassment, or any other illegal activities.

5.4. Compliance with Policies: Your use of Services must comply with all applicable policies, including our Privacy Policy, Acceptable Usage Policy, Law Enforcement and Legal Compliance Guide, and others referenced herein.

6. Intellectual Property

6.1. Our Property: All Content and Intellectual Property rights in our Services, software, documentation, trademarks, logos, and other materials are owned by or licensed to IllyVoIP. You may not copy, modify, distribute, sell, or lease any part of our Content or Intellectual Property without our express written permission, except as explicitly allowed under these Terms.

6.2. User Content: By submitting or uploading any Content or User Data to our Services, you grant IllyVoIP a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, store, transmit, and distribute such content solely to provide and improve our Services. You represent and warrant that you own or have rights to all such content and that its use by IllyVoIP will not violate any third-party rights.

6.3. Feedback: If you provide suggestions, enhancements, or other feedback (collectively, "Feedback") regarding our Services, you grant IllyVoIP a perpetual, irrevocable, royalty-free license to use such Feedback without any obligation to you.

7. Privacy and Data Protection

7.1. Privacy Policy: Your privacy is important to us. Our collection, use, and handling of personal data are governed by our Privacy Policy, which is incorporated by reference into these Terms.

7.2. Data Processing: By using our Services, you consent to our processing of your data as described in the Privacy Policy. You agree to comply with all applicable data protection and privacy laws in your use of our Services.

7.3. Data Security: We implement industry-standard security measures to protect User Data. However, you acknowledge that no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

8. Service Fees, Billing, and Payment

8.1. Pricing and Payment Terms: Some of our Services require payment. Pricing details, billing cycles, and payment terms will be provided at the time of purchase or specified in separate service agreements. All fees are quoted in [currency] and are subject to change with notice.

8.2. Billing and Invoicing: You agree to provide valid payment information and authorize IllyVoIP to charge your chosen payment method for all fees incurred. Recurring charges will be billed in advance on a monthly/annual basis according to your plan.

8.3. Taxes: You are responsible for all taxes, duties, or similar charges imposed by applicable tax authorities related to the use of our Services.

8.4. Late Payments: If payment is not received by the due date, we may suspend or terminate your Services until payment is made. Late payments may incur additional fees or interest as specified.

8.5. Refunds: Our Refund Policy, available on our website, governs refund requests for our Services. Unless otherwise stated, fees are non-refundable.

8.6. Disputes: Billing disputes must be submitted in writing within 15 days of the invoice date. We will investigate and respond, and you agree to pay any undisputed charges timely.

9. Term, Termination, and Suspension

9.1. Term: These Terms commence on the Effective Date and continue until terminated as provided herein.

9.2. Termination by You: You may terminate your account or Services at any time by following our termination procedures. Termination will not relieve you of outstanding payment obligations.

9.3. Termination by Us: We may suspend or terminate your access to our Services immediately, with or without notice, for reasons including but not limited to:

• Breach of these Terms.
• Non-payment of fees.
• Illegal, harmful, or fraudulent activity.
• Security or technical issues.

9.4. Effect of Termination: Upon termination, you must cease using our Services. All licenses granted under these Terms will immediately terminate. Sections on intellectual property, liability, indemnification, confidentiality, governing law, and others that by their nature should survive termination will continue in effect.

10. Disclaimers and Limitations of Liability

10.1. Disclaimer of Warranties: Our Services are provided on an “as-is” and “as available” basis. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, secure, or error-free operation of our Services.

10.2. Third-Party Content: Our Services may contain links to third-party websites, services, or content. We do not control and are not responsible for any third-party offerings or content and disclaim any liability related thereto.

10.3. Limitation of Liability: To the fullest extent permitted by law, in no event will IllyVoIP be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to your use of or inability to use our Services. Our aggregate liability for claims shall not exceed the amount you paid for the relevant Services in the six months preceding the claim, or an amount specified in a separate agreement, whichever is greater.

10.4. Force Majeure: IllyVoIP shall not be liable for any delay or failure in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, or Internet failures.

11. Indemnification

You agree to indemnify, defend, and hold harmless IllyVoIP, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of our Services.
• Any violation of these Terms.
• Your infringement of any third-party rights.
• Any misconduct related to your account or Services.

12. Monitoring and Enforcement

12.1. Monitoring: IllyVoIP reserves the right to monitor your use of our Services to ensure compliance with these Terms, applicable laws, and our Acceptable Usage Policy. We may remove or modify any content or suspend accounts that violate these Terms or pose security risks.

12.2. Reporting Violations: If you suspect any violation of these Terms, illegal activities, or misuse of our Services, please report it to support@illyvoip.com.

13. Export Control

You agree to comply with all applicable export and import laws and regulations. You represent that you are not on any restricted lists or in a country where our Services are prohibited.

14. Compliance with Law Enforcement and Legal Requests

We cooperate with law enforcement agencies in accordance with applicable laws. Our Law Enforcement and Legal Compliance Guide outlines how we handle requests for information. By using our Services, you consent to lawful data requests subject to applicable legal requirements.

15. Governing Law and Dispute Resolution

15.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Kosovo, without regard to its conflict of laws provisions.

15.2. Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof that cannot be resolved amicably shall be finally resolved by binding arbitration in accordance with the rules of a recognized arbitration body. The arbitration shall take place in a location agreed upon by the parties, unless required otherwise by law. The arbitrator’s decision shall be final and binding.

15.3. Class Action Waiver: You agree that any dispute resolution will occur on an individual basis, and you waive the right to participate in a class action or collective lawsuit against IllyVoIP.

15.4. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17. Miscellaneous

17.1. Assignment: You may not assign these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without notice to you.

17.2. Waiver: Failure by IllyVoIP to enforce any provision of these Terms shall not constitute a waiver of future enforcement of that or any other provision.

17.3. Entire Agreement: These Terms, along with all referenced policies and agreements, constitute the entire agreement between you and IllyVoIP regarding your use of our Services, superseding any prior agreements.

17.4. Modifications: We may update or modify these Terms at any time. Changes will be posted on our website, and continued use of the Services after such changes constitutes acceptance of the new Terms.
